Terms of Use

These Terms of Use ("Terms") are an agreement between you and AIEASY LLC ("we", "us"). They apply when you use the Nestlist iPhone app, its online features and this website (together, the "Service"). By using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1 The Service

Nestlist helps parents and caregivers plan baby essentials. You can build a plan, record what you own in Closet, track a budget, compare products, ask the Assistant about your plan and share a Registry. Most data is saved on your iPhone. Some features use our servers, as the Privacy Policy explains.

We may change, add or remove features. Some features may be unavailable at times.

2 Who can use Nestlist

You must be at least 18 years old and live in the United States to use Nestlist. Nestlist is designed for adults. Babies and children do not have accounts.

3 Accounts

You can use Nestlist without an account. To use online features, you can sign in with Apple or Google. You are responsible for activity under your account and for keeping your device and sign-in secure. Tell us right away if you think someone used your account without permission.

You can delete your account in the app at any time. See Delete your account.

4 Not medical or safety advice

Nestlist gives general information for planning only. It is not medical advice, and it does not replace advice from your pediatrician or another qualified professional. Ask a pediatrician about health questions.

Nestlist does not certify that any product is safe. Recall information comes from public sources such as the U.S. Consumer Product Safety Commission and the National Highway Traffic Safety Administration. A recall check is not a safety guarantee or a purchase recommendation. Notices can be published after a check, and a missing record is not proof that a product is safe. Before you use any product, follow the maker's instructions and age limits, and check the label against official recall notices, especially for secondhand items.

5 Product information, prices and retailers

Product details, prices, availability and links can come from manufacturers, retailers, public agencies and other third parties. This information may be incomplete, out of date or wrong. Always confirm details, price, availability and terms with the retailer or maker before you buy.

Nestlist does not sell products. When you open a retailer link, the purchase happens on the retailer's website under the retailer's own terms and policies. We are not responsible for retailers' products, services, websites or content.

We have no affiliate or sponsored relationship with any retailer or brand today. If we add one, we will label links that may earn a commission before you open them, and commissions will not change the retailer's price, safety checks or recommendation order.

6 The Assistant and product guide

The Assistant and the product guide use AI models from third parties. AI answers can be wrong or incomplete. Check important information yourself, and do not rely on an AI answer for medical or safety decisions. Do not send information or photos you don't want to share. The Privacy Policy explains what the Assistant sends.

7 Your content

You own the content you add to Nestlist, such as lists, notes, photos, Registry items, reviews and reports ("Your Content"). You are responsible for Your Content and must have the right to share it.

Most of Your Content stays on your iPhone. When you send content to our servers, you give us a non-exclusive, royalty-free, worldwide license to store, copy, process and transmit it as needed to run the Service for you and the people you share it with.

Product reviews and reports. When you submit a product review or a product report, you also give us a non-exclusive, royalty-free, perpetual, worldwide license to review, store, edit for length or clarity, and display the review in Nestlist without your name, and to use reports to check product information. Submissions are private until our team reviews them. We may approve or reject any submission and may stop displaying a review at any time. Reviews must be honest and based on your own experience. Tell us if you received the product for free or were paid. If you delete your account, we erase your reviews and reports and stop displaying them.

We do not claim ownership of Your Content.

8 Registry and guests

A Registry owner decides which items guests can see and who receives a guest link. Anyone with the link can view the visible items and reserve or record gifts. Share links only with people you trust. You can revoke links in the app.

Guests use a Registry under these Terms. Guests must give accurate information and must not misuse the link. Reservations and purchase records are a coordination tool only. Nestlist does not process payments or deliveries between guests and Registry owners, and it does not guarantee that a gift will be bought or delivered.

9 Households and caregivers

A household owner can invite other adults as editors or viewers with a one-time code. Invite only people you trust. Adults in a household can see the records shared with that household. If you delete your account and another adult can edit your household, the household and its shared records pass to them.

10 Acceptable use

You agree not to:

• break any law or anyone's rights, including privacy and intellectual property rights;
• post false, misleading, abusive, hateful or sexual content, or content that endangers a child;
• post reviews you were paid for without saying so, or reviews of products you did not use;
• try to access accounts, households or data that are not yours;
• interfere with, overload, scrape or reverse engineer the Service, except where the law allows it;
• use the Service to send spam or malware.

We may remove content or limit access if we believe these Terms were broken.

11 Subscriptions

Every current Nestlist feature is free. Nestlist Plus cannot be purchased today.

If we offer a paid subscription in the future, these rules will apply. You will buy it through your Apple Account. Apple charges the price shown in the App Store. The subscription renews automatically unless you cancel it at least 24 hours before the end of the current period. You can manage or cancel it in your Apple Account settings. Refunds are handled by Apple under its policies. We will show the price, billing period and renewal terms before you buy.

12 Our rights

The Service, including its software, design, text and graphics, belongs to us or our licensors and is protected by law. Subject to these Terms, we give you a personal, non-exclusive, non-transferable, revocable license to use the app on Apple devices that you own or control, as allowed by the Apple Media Services Terms and Conditions. You may not copy, modify, distribute, sell or rent the Service. Nestlist and its logo are our trademarks.

If you send us feedback or ideas, we may use them without any obligation to you.

13 Apple App Store terms

If you downloaded Nestlist from the Apple App Store, the following also applies:

1. Acknowledgement. These Terms are between you and us only, not Apple. We, not Apple, are solely responsible for the app and its content.
2. Scope of license. Your license to use the app is limited to a non-transferable license to use it on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. The app may also be accessed by other accounts associated with you through Family Sharing or volume purchasing.
3. Maintenance and support. We are solely responsible for providing maintenance and support for the app, as described in these Terms or as required by law. Apple has no obligation to provide any maintenance or support for the app.
4. Warranty. We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app, if any. To the maximum extent permitted by law, Apple has no other warranty obligation for the app. Any other claims, losses, liabilities, damages, costs or expenses caused by a failure to conform to a warranty are our responsibility, to the extent not effectively disclaimed.
5. Product claims. We, not Apple, are responsible for addressing any claims by you or a third party relating to the app or your possession or use of it. This includes (a) product liability claims; (b) any claim that the app fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy or similar laws.
6. Intellectual property rights. If a third party claims that the app or your possession and use of it infringes that third party's intellectual property rights, we, not Apple, are solely responsible for the investigation, defense, settlement and discharge of that claim.
7. Legal compliance. You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo or that the U.S. Government has designated as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.
8. Developer contact. Questions, complaints or claims about the app go to us at the address in Contact.
9. Third-party terms. You must comply with applicable third-party terms when you use the app, such as your wireless data service agreement.
10. Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms. When you accept these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

14 Ending these Terms

You can stop using Nestlist at any time and delete your account in the app. We may suspend or end your access if you break these Terms, if the law requires it, or if we stop offering the Service. If we stop offering online features, we will try to give you notice and time to export your data. Sections that by their nature should survive will survive, including sections 7, 12, 15, 16, 17 and 18.

15 Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT PRODUCT, PRICE, RECALL OR AI-GENERATED INFORMATION IS ACCURATE OR COMPLETE. Some states do not allow these exclusions, so some of them may not apply to you.

16 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) US$100. Some states do not allow these limits, so they may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

17 Indemnity

To the extent the law allows, you agree to defend and hold us harmless from claims by third parties that arise from Your Content or from your breach of these Terms.

18 Governing law and disputes

These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in the State of Florida, unless the law where you live gives you the right to bring a claim in your local courts. Before filing a claim, please contact us so we can try to resolve it informally.

19 Changes to these Terms

We may update these Terms. We will change the effective date at the top. If a change is significant, we will tell you in the app before it takes effect. If you keep using the Service after a change takes effect, you accept the new Terms.

20 General

These Terms and the Privacy Policy are the whole agreement between you and us about the Service. If a court finds part of these Terms unenforceable, the rest stays in effect. If we don't enforce a right, we have not waived it. You may not transfer these Terms without our consent. We may transfer them as part of a merger, sale or transfer of our business.
